On January 24, 2023, we entered into an underwriting agreement (the “Underwriting Agreement”) with Aegis Capital Corp. (“Aegis”) as underwriter (the “Underwriter”), relating to the offering, issuance and sale of 36,051,000 shares of our common stock at a public offering price of $0.20 per share.

General and administrative expenses of $23.3 million for our SaaS business for the year ended December 31, 2022 represents an improvement of $2.4 million or 9% year over year, as compared to $25.7 million for the year ended December 31, 2021.
Currently, the business is generating minimal revenues. 21 Operating Expenses Depreciation and amortization expense was $2.3 million for the year ended December 31, 2023, as compared to $1.1 million for the year ended December 31, 2022.
The $2.5 million non-cash depreciation and amortization expenses for the year ended December 31, 2022, represent an increase over the $1.7 million amortization expenses for the year ended December 31, 2021. However, the $0.8 million increase in depreciation and amortization expense is attributed to amortization of our capitalized software development costs associated with our MARKET.live platform.
The increase of $1.2 million in depreciation and amortization expense is primarily due to the full-year amortization of software development costs as compared to a partial year of amortization in 2022. Amortization of software development costs began in July 2022.
